TERMS AND CONDITIONS OF USE — SPAACE.MX

IMPORTANT NOTICE

Before using the Platform, please read this document carefully. By creating an account, subscribing to any of our plans, or using any functionality of the Platform, you express your consent to these Terms and Conditions and the Privacy Notice. If you do not agree with any provision, you must refrain from using the Platform.

1. PARTIES AND ACCEPTANCE

These Terms regulate the relationship between:

a) Spaace.mx (“Spaace,” “the Platform,” or “us”), a commercial company incorporated under the laws of the United Mexican States, with its registered office in Mexico City, Mexico, which operates the site https://spaace.mx; and

b) Any natural or legal person who accesses, browses, registers, or uses the Platform (the “User” or “you”).

Accessing and using the Platform implies full acceptance of these Terms and the Privacy Notice.

2. DEFINITIONS

  • Platform: the website https://spaace.mx and all its sections and functionalities.
  • User: any natural or legal person who accesses or uses the Platform, whether subscribed or not.
  • Subscriber: a User who has signed up for one of the paid plans.
  • Property Publisher: a Subscriber who publishes commercial real estate listings.
  • Service Publisher: a Subscriber who publishes commercial service provider profiles.
  • Listing: an advertisement or publication created by a Publisher on the Platform.
  • User Content: all material that the User publishes on the Platform (text, images, data, descriptions, logos).

3. NATURE OF THE PLATFORM — MARKETPLACE

Spaace is exclusively a digital intermediation platform that connects Property Publishers and Service Publishers with users interested in the commercial real estate market in Mexico.

Spaace is NOT a real estate agent, broker, property dealer, real estate service provider, or party to any transaction derived from the use of the Platform.

Spaace does not verify, certify, or guarantee:

  • The accuracy, truthfulness, or legality of the information published in the Listings.
  • The ownership, physical state, registration status, or tax condition of the published properties.
  • The identity, solvency, or reputation of the Publishers.
  • The quality or suitability of the services offered by third parties.

Every business, investment, lease, or sale decision derived from information obtained on the Platform is the exclusive responsibility of the User. We recommend performing due diligence before entering into any agreement.

4. ACCOUNT REGISTRATION

4.1 Requirements

To create an account, the User must:

  • Be a natural person over 18 years of age with the legal capacity to contract, or a legally constituted legal entity.
  • Provide true, accurate, and up-to-date information.
  • Keep said information updated.
  • Not have been previously suspended for violating these Terms.

4.2 Account Security

The User is responsible for maintaining the confidentiality of their access credentials. Any activity carried out from your account will be presumed to be done by you. In case of unauthorized access, notify us immediately.

4.3 One Account per User

Each User may hold only one active account. The creation of multiple accounts will be grounds for cancellation.

5. SUBSCRIPTION PLANS

5.3 Billing Methods

Plans are offered in monthly or annual modes. Current prices are published at https://spaace.mx/planes-de-suscripcion/ and are expressed in Mexican pesos (MXN), plus VAT where applicable.

Spaace reserves the right to modify prices with prior notice to the Subscriber in accordance with Clause 15.

5.4 Payment Processing

Payments are processed securely through Stripe. Payment data is managed exclusively by Stripe and is never stored directly by Spaace.

5.5 Automatic Renewal

Subscriptions renew automatically at the end of each billing period, unless the Subscriber cancels them before the renewal date.

For annual subscriptions, Spaace will notify the Subscriber with reasonable notice before the renewal date, allowing them to cancel without penalty.

5.6 Failed Charges

If the charge to the registered payment method fails, Spaace may attempt the collection again during a reasonable period. If payment is not regularized, the subscription may be suspended or canceled.

5.7 Plan Changes

The Subscriber may change their plan from their account. Changes to a higher-level plan (upgrade) will be effective immediately with a proportional charge. Changes to a lower plan (downgrade) will be effective at the start of the next billing cycle.

5.8 Refunds

Subscription charges are generally non-refundable, except when Spaace has been unable to provide the service for reasons directly attributable to Spaace, or when required by applicable Mexican law.

Refund requests must be submitted by email to the address indicated in Clause 18 within 15 calendar days following the date of the charge.

5.9 Tax Receipts

Spaace will issue the corresponding tax receipt for each subscription charge in accordance with applicable Mexican law. The Subscriber must provide the correct tax information (legal name, RFC, and tax address) in their account profile.

6. CANCELLATION OF SUBSCRIPTIONS

The Subscriber may cancel their subscription at any time from their account administration panel or by sending an email request to the address indicated in Clause 18.

Effects of cancellation:

  • Monthly subscription: cancellation is effective at the end of the current monthly period. The Subscriber will retain access to the service for the remainder of the paid period.
  • Annual subscription: cancellation is effective at the end of the current annual period. No refunds will be made for unused months, except in the cases provided for in Clause 5.8.

At the end of the paid period, the Subscriber’s Listings will be deactivated and the account will remain in a free user state, without access to publishing functionalities.

7. USER CONDUCT

7.1 Obligations

The User agrees to:

  • Use the Platform exclusively for lawful and commercial purposes.
  • Provide true and up-to-date information.
  • Not interfere with the normal operation of the Platform.
  • Comply with applicable Mexican law.

7.2 Prohibited Conduct

It is strictly prohibited to:

  • Publish false, misleading, or fraudulent information.
  • Publish the same property or service repeatedly (spam).
  • Publish properties for which you do not have legal authority.
  • Use the Platform for illegal activities.
  • Infringe on the intellectual property rights of third parties.
  • Use robots, scrapers, or automated means to extract data without authorization.
  • Attempt to breach or compromise the security of the Platform.
  • Impersonate another person or company.
  • Publish defamatory, discriminatory, threatening, or obscene content.
  • Publish properties for residential or housing use (the Platform is exclusively commercial).

7.3 Consequences

Non-compliance may lead to:

  • Removal of the infringing content.
  • Temporary suspension of the account.
  • Permanent cancellation of the account and subscription, without refund.
  • Reporting to the competent authorities when appropriate.

8. RULES FOR PROPERTY PUBLICATION

8.1 Permitted Types

The Platform is designed exclusively for properties for commercial, industrial, or mixed non-residential use, including:

  • Offices (for rent or sale)
  • Warehouses and storage facilities
  • Industrial properties
  • Retail spaces and shopping centers
  • Land for commercial, industrial, or development use
  • Commercial real estate development projects

The publication of properties for exclusively residential use is not permitted.

8.2 Minimum Information

Each Listing must include:

  • Type of operation (rent, sale, etc.)
  • Property type
  • Location (minimum: city, neighborhood, and borough/municipality)
  • Available area in square meters
  • Price
  • At least one photograph
  • Publisher’s contact details

8.3 Quality Standards

The Publisher agrees to:

  • Publish real photographs of the property.
  • Keep availability updated.
  • Not publish prices significantly different from those they intend to apply.
  • Honestly describe the physical conditions of the property.

8.4 Publisher’s Declaration

By publishing a Listing, the Publisher declares and guarantees that they have the legal authority to market the advertised property and that the published information does not infringe on the rights of third parties.

9. RULES FOR SERVICE PUBLICATION

9.1 Permitted Categories

The Platform allows the publication of provider profiles related to the commercial real estate market, including but not limited to: architecture, construction, maintenance, security, furniture, software, logistics, cleaning, and consulting.

9.2 Minimum Information

Each Service Listing must include:

  • Name of the provider or company
  • Service category
  • Description of the service offered
  • Geographic coverage area
  • Valid contact details

9.3 Publisher’s Declaration

By publishing a Service Listing, the Publisher declares that they have the authorizations, licenses, and legal permits required by Mexican law to provide the advertised services.

Spaace does not certify or guarantee the suitability or quality of the published service providers. Users who hire services do so at their own risk.

10. USER CONTENT

10.1 Responsibility

The User is solely responsible for all Content they publish on the Platform.

10.2 License to Spaace

By publishing Content, the User grants Spaace a non-exclusive, free, and revocable license to display said Content on the Platform for the purpose of providing search and publication services.

10.3 User Guarantees

By publishing Content, the User guarantees:

  • That they have the necessary rights to the Content.
  • That the Content does not infringe on the rights of third parties.
  • That the Content is true and not misleading.

10.4 Moderation

Spaace reserves the right to review, edit, or remove any Content that violates these Terms. We have no obligation to proactively monitor all published Content.

11. INTELLECTUAL PROPERTY

All intellectual property rights over the Platform — including the “Spaace” brand, the logo, the site design, the software, and the texts created by Spaace — are the exclusive property of Spaace.

The User is granted a limited and revocable license to access and use the Platform. This license does not authorize copying, redistributing, decompiling, or reverse engineering the software.

The User retains ownership over the original Content they publish, subject to the license described in Clause 10.2.

12. DISCLAIMERS

The Platform is offered “as is” and according to availability. Spaace does not guarantee that:

  • The Platform will be available uninterrupted or free of errors.
  • The results will be accurate or complete.
  • The Platform will be free of viruses or harmful components.

Spaace is not a party to the transactions entered into between Users as a result of their contact through the Platform. Any negotiation or agreement is the direct and exclusive responsibility of the parties involved.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable Mexican law, Spaace will not be liable for indirect, incidental, special, or consequential damages derived from the use or inability to use the Platform.

In the event that Spaace is held liable, Spaace’s total and cumulative liability to the User will be limited to the total amount of subscription fees paid during the 3 months prior to the event, or to the amount of MXN 5,000.00, whichever is greater.

Nothing in these Terms is intended to exclude User rights that cannot be waived under applicable Mexican law.

14. INDEMNIFICATION

The User agrees to indemnify and hold Spaace harmless from any claim derived from:

  • The User’s breach of these Terms.
  • The Content published by the User.
  • The infringement of third-party rights attributable to the User.
  • Any transaction entered into between the User and another User or third party through the Platform.

15. MODIFICATIONS TO THE TERMS

Spaace may modify these Terms when necessary. Any substantial change will be notified to the User with reasonable notice, via email or a prominent notice on the Platform.

Continued use of the Platform after the changes take effect will constitute acceptance of them. If the User does not agree, they may cancel their account in accordance with Clause 6.

16. SUSPENSION AND TERMINATION

16.1 Termination by the User

The User may close their account at any time from their profile or by sending a request to the email indicated in Clause 18.

16.2 Suspension or Cancellation by Spaace

Spaace may suspend or cancel the account in case of:

  • Breach of these Terms.
  • Fraudulent or illegal conduct.
  • Failure to pay the subscription.
  • Order from a competent authority.

17. DISPUTE RESOLUTION AND APPLICABLE LAW

These Terms are governed by the laws of the United Mexican States.

For any dispute derived from these Terms, the parties will first attempt an amicable solution through direct communication. If not resolved, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that might correspond to them.

In the event that the User has the status of a consumer, they may file claims before the Federal Consumer Protection Agency (PROFECO) in accordance with applicable law.

Spaace will respond to communications within a reasonable period.

19. GENERAL PROVISIONS

  • Severability: If any provision is declared invalid, the rest of the Terms will continue in effect.
  • Entire agreement: These Terms, together with the Privacy Notice, constitute the entire agreement between the User and Spaace.
  • No waiver: The fact that Spaace does not exercise any right in a specific case will not constitute a waiver of that right in the future.
  • Force majeure: Spaace will not be liable for delays or failures caused by circumstances beyond its reasonable control (natural disasters, infrastructure failures, cyberattacks, etc.).
  • Language: In case of any conflict, the Spanish version will be the official one and will prevail over any translation.
